These terms apply to every paid sponsorship, advertisement, guide, Blueprint, deal listing, dedicated issue and directory listing booked with No Code Founders ("NCF") or Tiny Empires. They are an agreement between Vault42 sro, a company registered in the Czech Republic and the owner and operator of NCF and Tiny Empires, and the business booking the placement (the "Sponsor").
The Sponsor accepts these terms by ticking the terms box at checkout or by paying an NCF invoice that refers to them. The person who pays confirms they are authorized to accept on the Sponsor's behalf.
The placement, price and date described on the invoice, checkout page or NCF's written booking confirmation (the "Order") form part of these terms. Where a separately signed sponsorship agreement exists, that agreement takes priority over these terms.
All placements are paid in full in advance. Payment must be received and cleared before the placement date, unless NCF has agreed a different payment schedule in writing.
Dates are not held or reserved until payment clears. NCF may offer the same date to more than one sponsor, and the first sponsor to pay books it. If payment arrives after the date has been taken or has passed, NCF will offer the next available date.
The Sponsor is bound by the Order once paid, whether or not it uses every part of the placement. Prices are in US dollars unless the Order says otherwise, and exclude any taxes the Sponsor is required to pay.
The Sponsor supplies the source material for each placement, including a product walkthrough, links and brand assets, by the deadline NCF gives at booking. NCF writes the published copy.
NCF will send each placement to the Sponsor for approval before publication, with one round of review per placement. If NCF receives no response within three business days, it may publish the draft as provided.
Any template, agent, workflow or other product asset forming part of a placement, including a Blueprint, is built and supplied by the Sponsor. NCF is not responsible for learning, building or configuring the Sponsor's product.
If the Sponsor's materials arrive late, NCF may move the placement to the next available date. Late or missing materials do not reduce or refund the fee.
The Sponsor grants NCF the right to use its name, logo, trademarks and product descriptions in connection with the placement, in line with any brand guidelines it provides in writing. NCF retains ownership of the editorial content it produces. The Sponsor may share that content in its own channels with attribution to NCF, and content published on the NCF website may stay live after the campaign at NCF's discretion.
The fee is non-refundable once paid. Each placement is sold exclusively for its slot, so a booking means NCF turns other sponsors away for that date. What the Sponsor buys is the slot and its distribution, not a particular result.
The Sponsor may ask to move a booked placement once, by email at least seven days before its scheduled date. NCF will move it to an available date within 90 days of the original one. Requests made later, or a second move, are at NCF's discretion.
NCF may reschedule a placement for editorial or technical reasons, and will offer the Sponsor the nearest available date. If NCF cancels a placement and cannot deliver it, the Sponsor's sole remedy is a pro-rata refund for the placements not delivered.
NCF may decline or cancel any placement it considers misleading, unlawful or unsuitable for its audience. If that happens before publication and is not caused by the Sponsor's breach of these terms, NCF will refund the fee for that placement.
Category exclusivity applies only where the Order states it, and only to the placement, edition or period named in the Order. NCF covers tools in the same categories every week, so exclusivity does not extend to the weeks before or after a placement.
NCF applies tracked links to each placement and will apply the Sponsor's own UTM parameters if supplied. NCF reports the clicks and engagement it can measure on its own properties. It makes no promise about opens, clicks, signups, conversions or any activity on the Sponsor's platform.
If a placement underperforms, NCF may offer additional placements at its own discretion. Any such offer is a goodwill gesture, not an admission of fault, and does not create a right to a refund.
The Sponsor confirms that its product, claims and materials are accurate and lawful, and that it has the rights to everything it supplies to NCF.
NCF's newsletters, website and community are provided as is. Neither party is liable to the other for indirect, incidental or consequential losses, including lost profits. Each party's total liability under an Order is capped at the fees paid or owed under that Order.
These terms are governed by the laws of the Czech Republic, and the courts of the Czech Republic have exclusive jurisdiction. The Sponsor is responsible for NCF's reasonable costs of collecting any unpaid fees, including court and legal fees.
The Sponsor may not transfer an Order to another business without NCF's written approval. If any part of these terms is unenforceable, the rest remains in force. A party's failure to enforce a term is not a waiver of it.
NCF may update these terms from time to time. The version published when the Sponsor pays applies to that Order.
